Terms of Sale
Article 1 — Purpose
These Terms of Sale govern the sale by [RAISON SOCIALE] (“the Publisher”) of a subscription to the Vantage software (“the Service”) to any customer acting for business purposes (“the Customer”). Placing an order means accepting the Terms of Sale and the Terms of Use.
Article 2 — Plans and prices
The plans in force are those on the pricing page on the day of the order: Starter €119 incl. VAT per month and Pro €335 incl. VAT per month. Not included: the dotb subscription, the Gemini key, AdsPower profiles, proxies and the Customer's server. The Publisher may change its prices by notifying the Customer [30] days in advance; the Customer may then cancel before the new prices take effect.
Article 3 — Term and cancellation
The subscription is monthly, with no commitment, and renews automatically each month. The Customer may cancel at any time from [ESPACE CLIENT / E-MAIL]; cancellation takes effect at the end of the current month, with no refund for the month already started.
Article 4 — Payment
Payment in advance each month by [MOYEN DE PAIEMENT]. An invoice is issued for each billing period. Late payment incurs penalties at three times the French statutory interest rate and a fixed recovery fee of €40 (French Commercial Code, art. L441-10). After [8] days of non-payment and a reminder, the Publisher may suspend the Service.
Article 5 — Availability
The Service is provided on a best-efforts basis. It relies on third-party services (Vinted, dotb, AdsPower, Gemini, supplier websites) that the Publisher does not control: a change to or outage of these services may interrupt features without the Publisher being liable.
Article 6 — Support
Starter: by email within [72 h ouvrées]. Pro: priority, within [24 h ouvrées].
Article 7 — Liability
The Publisher's liability is limited to direct damage and capped at the amounts paid by the Customer over the last [12] months. Excluded in particular: loss of revenue, suspension or closure of an account on a platform, platform decisions, disputes with the Customer's buyers.
Article 8 — Intellectual property
Vantage remains the property of the Publisher. The Customer receives a personal, non-exclusive, non-transferable right of use for the duration of the subscription. Copying, reselling, decompiling and sharing the licence are prohibited.
Article 9 — Data
Personal data is processed in line with the privacy policy below. The Customer can retrieve their data for [30] days after the subscription ends.
Article 10 — Governing law
French law. Failing an amicable settlement, the commercial court of [VILLE] has exclusive jurisdiction.
Terms of Use
Article 1 — Account and access
The Customer keeps their login details confidential and is responsible for any use made of them. One licence covers one customer business; it cannot be shared.
Article 2 — Compliance with platforms
Vantage automates actions on third-party services. The Customer alone is responsible for complying with their terms of use, including rules on the number of accounts, automation and seller status. An account suspension or closure decided by a platform gives no right to any refund or compensation.
Article 3 — The Customer's business
The Customer operates under their own responsibility and according to their status (declaring their resale business, invoices, VAT, social contributions such as URSSAF in France). The figures in the Finances tab are an aid and do not replace an accounting or tax return.
Article 4 — Prohibited items and content
The Customer must not publish through Vantage any counterfeits, items they do not hold the rights to, or misleading or unlawful content. AI-generated photos must accurately represent the item sold.
Article 5 — Sensitive automations
The dispute and withdrawal features act on the Customer's behalf on their accounts. The Customer turns them on knowingly, remains responsible for the replies sent to their buyers and respects their rights, including the legal guarantee of conformity when selling as a business. Vantage never refunds without the item being returned and never changes bank details.
Article 6 — Prohibited uses
Bypassing a service's security measures (captchas, blocks), reselling or copying Vantage, or using it to harm a third party.
Article 7 — Suspension
In the event of a serious breach of the Terms of Use, the Publisher may suspend access after a formal notice that has gone unheeded for [8] days, or immediately in the event of unlawful use.
Article 8 — Changes
The Customer is notified [30] days before any significant change to the Terms of Use.
